Terms of Service — Adult Users (Self-Registered, Age 18+)

Scope — where this applies. This document covers WhiteKnight Academy as a whole: both the public website at whiteknight.academy and the learning platform at analytics.whiteknight.academy. Where it refers to "the Site", "the Service", or "the Platform", it means both unless a specific one is named.

§ 0. Summary in plain language (non-binding)

  • These Terms govern your personal, adult use of WhiteKnight Academy.
  • It is run by TheBroda sp. z o.o. (Poland).
  • The free beta costs nothing. Paid plans, when available, will be clearly priced before you subscribe.
  • You control your data: see it, correct it, delete it, or close your account at any time.
  • Live lessons are normally not recorded. Recording is opt-in and visibly indicated.
  • Your consumer rights under EU/US/CA law are not weakened by this contract.
  • Contact: privacy@whiteknight.academy (privacy) or contact@whiteknight.academy (anything else).

§ 1. Acceptance of these Terms

By creating an account at https://analytics.whiteknight.academy, you confirm that:

  1. You are 18 years old or over.
  2. You are registering for yourself and not on behalf of a minor. If you are registering a minor, close this account and use the Parent Terms of Service instead.
  3. You have read and agree to these Terms, the Privacy Policy, and the Cookie Policy.
  4. The information you provide is accurate.

If any of the above is not true, do not create the account.

§ 2. Parties and definitions

  • "Us" / "we" / "TheBroda" — TheBroda sp. z o.o., ul. Wierna 12, Warszawa, Poland, KRS 0000677402, NIP 5242831345, REGON 367267919.
  • "You" — the adult individual who accepts these Terms.
  • "Service" — WhiteKnight Academy as delivered via our public site https://whiteknight.academy and the learning platform https://analytics.whiteknight.academy, together with any connected application, API, or email channel.
  • "Content" — any text, chess moves, puzzle solutions, homework submissions, messages, avatars, usernames, or other material submitted to or generated within the Service.
  • "Coach" — an adult professional admitted by us to provide coaching services, governed by a separate Coach Contractor Agreement.

§ 3. What the Service does

The Service provides, without limitation:

  • A chess-play environment with puzzles, rating tracking, and performance analytics.
  • Homework assignments prepared by Coaches for students.
  • Live video lessons with Coaches via Daily.co (recording opt-in per § 9).
  • AI-assisted insights and summaries (no AI training on your data — see Privacy Policy § 7.2).
  • Optional linking of your public Chess.com or Lichess profile to import your public game archive.

The feature set evolves during beta.

§ 4. Your account

You agree to:

  • provide accurate information;
  • keep your credentials secure; tell us immediately if you suspect compromise at security@whiteknight.academy;
  • not share credentials or let another person use your account;
  • not register more than one account for yourself without our approval;
  • not register on behalf of another person.

We may require you to verify your identity (email, phone, or card) in specific situations: refund handling, account-recovery disputes, law-enforcement requests. Identity verification uses minimum-necessary information per Privacy Policy § 5 P8.

§ 5. Your Content and ours

5.1. Our Content

The Service, including code, design, puzzles authored by us, AI-generated outputs, reports, and aggregate statistics, is owned by or licensed to TheBroda. You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service during the life of your account.

5.2. Your Content

You retain ownership of your Content. By submitting Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, transmit, and display that Content solely for the purpose of operating the Service for you and its intended audience (e.g., the Coach you sent a message to). The licence ends when you delete the Content or close your account, except (a) where we must retain it by law (e.g., accounting records), or (b) where it has been incorporated into aggregate statistics that no longer identify you.

5.3. What we will NOT do with Content

We will not use your Content to train AI models, serve advertising, sell data, or for any purpose not described in the Privacy Policy.

§ 6. AI-generated insights

The Service uses OpenAI's API (directly, with no aggregator) to generate coaching insights and AI-chat responses based on aggregated chess-performance data. You understand that:

  • AI outputs may contain errors or inaccuracies;
  • AI outputs are not professional coaching advice;
  • OpenAI's API terms forbid training on customer content by default. We do not use any other LLM provider (OpenRouter, Anthropic, DeepSeek — none).

§ 7. Acceptable use

You must not, and must not permit anyone else to:

  • use the Service for any unlawful purpose;
  • harass, bully, threaten, or harm any user or Coach;
  • impersonate another person;
  • attempt to reverse-engineer, scrape at scale, or interfere with the Service;
  • use automated tools or chess engines to cheat in puzzles, games, or ratings;
  • upload content that is unlawful, defamatory, obscene, or that infringes anyone else's rights;
  • circumvent access control, rate limits, or safety measures;
  • sell or transfer the account;
  • interact with known Child accounts in any way outside the structured coach-lesson or coach-messaging flows. Adult users are not entitled to send direct messages to minors.

Violations may lead to suspension or termination under § 11.

§ 8. Payments (applies to paid plans only)

During the free beta, no charges are made. When paid plans are introduced:

  • prices are displayed before subscription; VAT is added where applicable (Poland standard rate 23% unless OSS or another regime applies);
  • payments are processed by Stripe; card data does not touch our systems;
  • invoicing records are retained for 5 years under Polish Accounting Act Art 74(2)(4), even after you delete your account;
  • consumer withdrawal rights apply — see § 15.

8.1. Free trial that converts to a paid subscription (Pro plan)

The Pro plan is offered with a free-trial-to-paid subscription model:

  • At checkout you authorise Stripe to retain your card and charge it after the trial.
  • For the trial duration shown at checkout (currently 14 days) you are not charged. Your subscription nevertheless starts on the day you sign up.
  • Three days before the trial ends we send you a reminder (in-app notification, and email if you have notification emails enabled).
  • If you do nothing, the card you provided is automatically charged the standard Pro plan price (€19/month or €199/year as displayed at checkout) at the end of the trial, and on each subsequent billing anniversary.
  • You can cancel any time before the trial ends in Settings → Billing. If you cancel during the trial, you are not charged.
  • After the first paid period begins, you may still cancel at any time, but your subscription remains active until the end of the period you have already paid for.
  • This auto-billing transition is disclosed prominently on the checkout page; you must explicitly tick a "I understand my card will be charged automatically after the trial unless I cancel" checkbox before the order can be placed.

8.2. Annual (yearly) plans — EU consumer-withdrawal acknowledgment

For yearly subscriptions:

  • The standard 14-day right of withdrawal under Polish Ustawa o prawach konsumenta Art 27 applies (see § 15.1).
  • If you ask us to start the Service immediately within that 14-day window and you withdraw, the consumed-months refund formula in § 15.1 applies. You acknowledge this consumed-months pro-rata calculation by ticking a dedicated checkbox at checkout. We record the timestamp and the network IP from which you ticked the box, and may produce that record on demand if you later dispute the refund.
  • After the 14-day withdrawal window expires, the subscription continues for the contracted term (one year) unless you cancel. Cancelling stops auto-renewal at the end of the current period; it does not generate a refund of the prepaid amount, except where mandatory law requires one.

§ 9. Recording of live lessons

Recording is the exception, not the rule. In your account settings you can toggle "Allow WhiteKnight Academy to record my lessons when a participant explicitly starts a recording". The default is off.

When a recording is active, a prominent red "REC" indicator is shown to every participant. Recordings are stored by Daily.co (United States) and are auto-deleted after 30 days. Full regime in Privacy Policy § 7.3.

If you participate in a lesson with a minor, the recording is also governed by the minor's parent's consent (their toggle must also be on). If either side's consent is off, the lesson cannot be recorded.

§ 10. Respectful conduct toward minors

Because most of our students are children, and you may at some point be in a group lesson with a minor or exchange messages with a Coach who coaches minors:

  • Do not attempt to direct conversations toward minors.
  • Do not share personal contact information with or seek it from anyone on the platform.
  • Report anything that concerns you to contact@whiteknight.academy.

We take these obligations seriously and will suspend accounts that breach them.

§ 11. Termination

11.1. By you

You can close your account at any time via the account settings or by emailing privacy@whiteknight.academy. Deletion proceeds as described in the Privacy Policy.

11.2. By us

We may suspend or terminate your account for material breach of these Terms, for safeguarding reasons, or if required by law. Where feasible, we will give notice and an opportunity to cure; suspension may be immediate in emergencies.

11.3. Effect of termination

On termination: your licence to the Service ends; Content is deleted per the Privacy Policy retention schedule (accounting records retained per Polish Accounting Act Art 74).

§ 12. Warranty disclaimer — to the fullest extent permitted by law

The Service is provided "as is" and "as available". Except as required by mandatory consumer-protection law (§ 15), we do not warrant that the Service will be uninterrupted, error-free, or meet specific educational outcomes. This disclaimer does not limit any warranties that cannot be waived by contract under Polish, EU, US, or Canadian consumer-protection law — including the warranty of conformity under Directive (EU) 2019/770 and California Civil Code §§ 1790 et seq.

§ 13. Limitation of liability

To the fullest extent permitted by law, our total aggregate liability to you under these Terms shall not exceed the greater of (a) the amounts paid by you to us in the 12 months preceding the event giving rise to liability, or (b) EUR 100.

Exceptions — no cap applies to:

  • liability for death or personal injury caused by our negligence;
  • liability for fraud or fraudulent misrepresentation;
  • liability that cannot be limited or excluded under applicable law (Polish Kodeks cywilny Art 473 § 2; EU consumer-protection law; California Civil Code § 1668; Quebec CCQ art. 1474);
  • liability for damages we cause through willful misconduct or gross negligence.

§ 14. Indemnification (limited)

You agree to hold us harmless from third-party claims arising from your breach of § 7 (Acceptable Use) or § 10 (Respectful conduct toward minors).

This clause does not apply where the underlying conduct is attributable to us, a Coach, or another user; to any claim you bring against us as a data subject (GDPR / CCPA / PIPEDA rights are exercised without penalty); or to any claim brought by a regulator.

§ 15. Consumer rights (EU / EEA / Poland)

You are a consumer within the meaning of Directive 2011/83/EU and Polish Kodeks cywilny Art 22¹. Nothing in these Terms limits rights conferred on you by those laws.

15.1. Right of withdrawal

For paid plans (Phase 2), you have 14 days to withdraw from a digital-services contract (Ustawa o prawach konsumenta Art 27). If you ask us to start the Service immediately within that period and we do, and you then withdraw, you pay pro-rata for use until withdrawal (Art 35). During the free beta this right does not apply because there is no paid transaction.

15.2. Unfair terms (Polish Kodeks cywilny Art 385)

If any clause of these Terms would, under Polish law, be considered an unfair term, that clause is null and void in your case; the rest of the Terms remain in force.

15.3. Complaints

You may complain to us first (§ 22). You may also lodge a complaint with the Rzecznik Konsumentów at your municipality, the Prezes UOKiK, or the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.

§ 16. Consumer rights (United States)

Nothing in these Terms waives any non-waivable statutory rights you have under U.S. federal or state law, including CCPA/CPRA, Virginia VCDPA, Colorado CPA, Washington MHMD (for health data — not applicable here), and similar.

16.1. Arbitration — explicitly NOT included

These Terms do not contain a mandatory arbitration clause or class-action waiver.

§ 17. Consumer rights (Canada)

Nothing in these Terms waives rights under PIPEDA or applicable provincial law (Quebec Law 25, BC/Alberta PIPA, Ontario Consumer Protection Act 2002). For Quebec residents, the French version of these Terms (when published) prevails in the event of inconsistency (Charter of French Language art. 55).

§ 18. Governing law and forum

Mirror of Parent ToS § 20:

  • EU/EEA residents: Polish law; courts per Brussels I recast Art 17-19.
  • US residents: Delaware.
  • Canadian residents (non-QC): Ontario law. Quebec residents: Quebec civil law (CCQ art. 3111).

§ 19. Changes to these Terms

We may amend these Terms. For material changes:

  • we post the updated version at the publication URL;
  • we email you at least 15 days before the change takes effect.

If you do not agree, you may close the account before the change takes effect; refunds, where applicable, are handled under § 15.1.

§ 21. Miscellaneous

  • Entire agreement: these Terms + Privacy Policy + Cookie Policy + Subprocessor List + Safeguarding Policy form the entire agreement between you and us.
  • Severability: if any provision is held unenforceable, the rest continues; a consumer-favourable reading is preferred (Polish Kodeks cywilny Art 385 § 2).
  • No assignment by you: you may not assign your account; we may assign to a successor company with notice.
  • Waiver: failure to enforce a provision is not a waiver.
  • Languages: English is the master version; Polish and French translations are equally binding in their respective jurisdictions.
